Terms of Service

Effective Date: June 4, 2026

1. Service Description

DataReactor may include software, APIs, dashboards, AI agents, data pipelines, model‑routing tools, workflow orchestration, integrations, automation features, analytics, reporting, and support services.

The service may process documents, databases, CSV, JSON, audio, video, email, logs, business records, cloud data, on‑premise data, and other customer‑provided or customer‑connected information.

We may modify, suspend, replace, limit, or discontinue any feature at any time, with or without notice, unless a separate written agreement states otherwise.

2. No Guaranteed Results

DataReactor is a technology platform. We do not guarantee any specific business, financial, operational, cost‑saving, compliance, security, productivity, or AI‑performance result.

Any examples, case studies, performance claims, ROI discussions, cost‑saving estimates, or product descriptions are illustrative only and are not guarantees, warranties, commitments, or promises of future results.

You are solely responsible for deciding whether DataReactor is suitable for your business, use case, data, systems, industry, and risk tolerance.

3. Customer Responsibility

You are solely responsible for:

  • All Customer Data submitted, uploaded, connected, processed, or made available through DataReactor.
  • The legality, accuracy, quality, completeness, and integrity of Customer Data.
  • Obtaining all rights, consents, permissions, notices, and approvals required to process Customer Data.
  • Configuring users, permissions, API keys, integrations, workflows, and automation settings.
  • Reviewing, approving, validating, and monitoring AI outputs.
  • Maintaining backups of your own data.
  • Complying with all laws, regulations, contracts, industry standards, and internal policies applicable to your use of DataReactor.
  • Preventing unauthorized access to your systems, credentials, data sources, cloud accounts, and business applications.

We are not responsible for losses, errors, claims, or damages caused by Customer Data, customer systems, customer configurations, third‑party services, customer workflows, user error, or unauthorized use of your accounts or credentials.

4. Customer Data Ownership and License

You retain ownership of Customer Data.

You grant us a limited, non‑exclusive, worldwide license to access, host, copy, process, transmit, display, analyze, transform, and use Customer Data only as reasonably necessary to provide, secure, maintain, support, improve, and operate DataReactor and related services.

We do not sell Customer Data.

Unless otherwise agreed in writing, we will not use Customer Data to train public AI models.

5. Data Deletion

Customers may request deletion of Customer Data by contacting: privacy@betterai360.com

We will take commercially reasonable steps to delete applicable Customer Data from active systems, subject to legal, contractual, technical, backup, audit, security, and compliance limitations.

Deletion may not be immediate. Copies may remain in backups, logs, audit records, security systems, legal archives, disaster recovery systems, or third‑party systems until removed under normal retention cycles.

We are not responsible for Customer Data retained by third‑party services, customer systems, external models, customer‑managed environments, or integrations outside our control.

6. Third‑Party Services

DataReactor may connect to or rely on third‑party services, including AI model providers, cloud providers, hosting providers, databases, vector stores, OCR tools, analytics tools, authentication providers, email systems, ERP/CRM systems, collaboration tools, and other software or infrastructure providers.

Third‑party services are not controlled by us. We are not responsible for their security, availability, pricing, performance, accuracy, terms, data handling, outages, errors, outputs, or changes.

Your use of third‑party services may be subject to separate terms and policies. You are responsible for ensuring that you have the right to connect third‑party systems and provide data from those systems to DataReactor.

7. AI Outputs

DataReactor may generate, summarize, classify, transform, recommend, predict, route, score, or act on information using artificial intelligence.

AI outputs may be inaccurate, incomplete, outdated, biased, inconsistent, or unsuitable for your intended use.

You agree that:

  • AI outputs are not professional advice.
  • AI outputs must be reviewed by qualified human personnel before reliance.
  • You are solely responsible for decisions made using AI outputs.
  • You will not rely on AI outputs as the sole basis for legal, financial, medical, employment, credit, housing, insurance, security, compliance, or other high‑impact decisions.
  • You are responsible for testing and validating workflows before production use.
  • We disclaim responsibility for any action, loss, claim, or damage arising from reliance on AI outputs.

8. Automated Actions

DataReactor may support workflows that update records, send communications, generate reports, trigger tasks, classify documents, escalate issues, or interact with business systems.

You are solely responsible for configuring permissions, approvals, safeguards, review processes, access rights, and human oversight.

You should not allow DataReactor to perform irreversible, sensitive, financial, legal, employment, procurement, customer‑facing, or mission‑critical actions without proper review and authorization.

We are not liable for customer‑configured automated actions, workflow errors, incorrect communications, system changes, data changes, business decisions, lost opportunities, or operational failures.

9. Acceptable Use

You may not use DataReactor to:

  • Violate any law, regulation, contract, privacy right, security requirement, or intellectual property right.
  • Process data you do not have the legal right to process.
  • Generate malware, phishing, spam, fraud, or harmful code.
  • Attempt unauthorized access to systems, networks, accounts, data, or infrastructure.
  • Circumvent access controls, billing controls, usage limits, monitoring systems, or security features.
  • Reverse engineer, copy, scrape, resell, sublicense, or misuse the service.
  • Use the service to create illegal, deceptive, abusive, discriminatory, harmful, or infringing content.
  • Use the service in a way that could damage, disable, overburden, impair, or compromise DataReactor or third‑party systems.
  • Use the service for high‑risk systems where failure could cause death, personal injury, severe property damage, or critical infrastructure disruption.

We may suspend or terminate access if we believe your use creates legal, security, operational, reputational, or business risk.

10. Suspension

We may suspend or restrict access to DataReactor immediately, without liability, if:

  • You breach these Terms.
  • You fail to pay fees.
  • Your use creates security, legal, regulatory, operational, reputational, or financial risk.
  • Your account appears compromised.
  • Your use may harm us, other customers, third parties, or the service.
  • Suspension is required by law, court order, regulator, or third‑party provider.
  • A third‑party service required for DataReactor becomes unavailable, restricted, or unsafe.

Suspension does not relieve you of payment obligations.

11. Fees and Payment

Fees, billing terms, usage limits, renewals, taxes, payment schedules, and cancellation terms will be stated in the applicable order form, invoice, subscription plan, statement of work, or written agreement.

Unless otherwise stated in writing:

  • Fees are non‑refundable.
  • Fees are exclusive of taxes.
  • You are responsible for all applicable taxes.
  • Late payments may result in suspension or termination.
  • Usage‑based fees may apply for AI model calls, compute, storage, data processing, integrations, traffic, support, and third‑party services.
  • Third‑party costs may be passed through to you.

12. Intellectual Property

We and our licensors own all rights, title, and interest in DataReactor, including software, architecture, workflows, interfaces, APIs, documentation, models, templates, designs, inventions, know‑how, trade secrets, product improvements, and related intellectual property.

You may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, decompile, disassemble, or create derivative works from DataReactor except as expressly permitted in writing.

You retain ownership of Customer Data.

Unless otherwise agreed in writing, we own all platform improvements, generalized learnings, templates, features, product enhancements, analytics, know‑how, and non‑customer‑specific developments created in connection with providing DataReactor, provided they do not disclose your confidential information.

13. Feedback

If you provide suggestions, ideas, recommendations, requests, or feedback, you grant us a perpetual, irrevocable, worldwide, royalty‑free right to use, modify, commercialize, and incorporate that feedback without restriction or compensation.

14. Confidentiality

Each party may receive confidential information from the other.

Each party agrees to use reasonable care to protect the other party’s confidential information and to use it only for purposes related to DataReactor.

Confidentiality obligations do not apply to information that is publicly available, independently developed, lawfully received from a third party, or required to be disclosed by law.

Customer Data will be treated as customer confidential information.

15. Security

We use commercially reasonable safeguards designed to protect DataReactor. However, no system is completely secure.

We do not guarantee that unauthorized access, cyber‑attacks, data loss, malware, service interruptions, or security incidents will never occur.

You are responsible for securing your own users, devices, networks, infrastructure, environments, credentials, API keys, integrations, cloud accounts, connected systems, and data sources.

16. Customer‑Managed and On‑Premise Deployments

If DataReactor is deployed in your cloud, private cloud, on‑premise environment, Kubernetes cluster, or other customer‑managed infrastructure, you are solely responsible for:

  • Infrastructure security.
  • Network configuration.
  • Identity and access management.
  • Secrets and API keys.
  • Monitoring and logging.
  • Backups and disaster recovery.
  • Scaling and availability.
  • Updates and patching, unless otherwise agreed.
  • Compliance with internal IT and security policies.
  • Third‑party infrastructure costs.
  • Protection of connected systems and data sources.

We are not liable for issues arising from customer‑managed infrastructure, misconfiguration, missing updates, unauthorized access, or third‑party systems.

17. Beta, Pilot, and Early Access Features

Beta, pilot, proof‑of‑concept, trial, and early access features are provided for evaluation only.

They may be incomplete, unstable, inaccurate, insecure, unsupported, or discontinued at any time.

They are provided “as is,” without warranties, service commitments, support commitments, or liability.

You should not use beta or pilot features for production, regulated, sensitive, or mission‑critical purposes unless expressly authorized in writing.

18. No Professional Advice

DataReactor does not provide legal, financial, tax, medical, employment, cybersecurity, regulatory, procurement, or compliance advice.

You are responsible for consulting qualified professionals before making decisions in those areas.

19. Warranty Disclaimer

To the maximum extent permitted by law, DataReactor and all related services are provided “as is,” “as available,” and “with all faults.”

We disclaim all warranties, express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non‑infringement, accuracy, availability, security, reliability, error‑free operation, uninterrupted service, data integrity, AI output quality, and compliance with your specific legal, regulatory, or business requirements.

20. Limitation of Liability

To the maximum extent permitted by law, Better AI 360, Better Choice AI Co., and their affiliates, officers, directors, employees, contractors, licensors, investors, suppliers, and partners will not be liable for any indirect, incidental, special, consequential, exemplary, enhanced, punitive, or lost‑profit damages.

This limitation applies to damages including loss of profits, revenue, business, goodwill, data, use, business interruption, cost of substitute services, incorrect AI outputs, failed workflows, automated action errors, third‑party service failures, security incidents, customer misconfiguration, compliance failures, and related decisions.

21. Liability Cap

To the maximum extent permitted by law, our total aggregate liability for all claims arising out of or relating to DataReactor, these Terms, or any related services will not exceed the greater of the amount you paid to us for DataReactor in the three months before the event giving rise to the claim; or US $100.

This cap applies in the aggregate to all claims, not per incident.

22. Essential Basis of Agreement

You acknowledge that we provide DataReactor in reliance on the disclaimers, exclusions, and limitations of liability in these Terms.

The fees charged reflect this allocation of risk.

Without these limitations, we would not provide DataReactor or would charge substantially higher fees.

23. Exceptions Required by Law

Some jurisdictions do not allow certain exclusions or limitations of liability.

To the extent any limitation is not permitted, that limitation will apply to the maximum extent permitted.

Nothing in these Terms excludes liability that cannot be excluded under applicable law.

24. Indemnification by Customer

You agree to defend, indemnify, and hold harmless Better AI 360, Better Choice AI Co., and their affiliates, officers, directors, employees, contractors, licensors, suppliers, investors, and partners from and against any claims, damages, losses, liabilities, penalties, fines, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

  • Your use of DataReactor.
  • Customer Data.
  • Your systems, integrations, configurations, users, workflows, or automated actions.
  • Your violation of these Terms.
  • Your violation of laws, regulations, contracts, or third‑party rights.
  • Your reliance on AI outputs.
  • Your use of third‑party services.
  • Security incidents caused by your systems, credentials, users, or configurations.
  • Claims from your customers, employees, contractors, vendors, partners, regulators, or other third parties.

We may control the defense of any indemnified claim. You may not settle any claim without our written consent if the settlement imposes any obligation, admission, or liability on us.

25. Termination

We may terminate or suspend your access at any time if you breach these Terms, fail to pay, create risk, misuse the service, or if continued service becomes commercially, legally, technically, or operationally impractical.

Upon termination:

  • Your right to use DataReactor ends immediately.
  • You remain responsible for all unpaid fees.
  • We may delete or retain Customer Data according to our retention practices and legal obligations.
  • Sections intended to survive will continue, including confidentiality, intellectual property, payment obligations, disclaimers, limitation of liability, indemnification, governing law, and dispute provisions.

26. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict‑of‑law rules.

The United Nations Convention on Contracts for the International Sale of Goods does not apply.

27. Venue and Jurisdiction

Any dispute arising out of or relating to these Terms or DataReactor will be brought exclusively in the state or federal courts located in Delaware, United States.

You consent to the personal jurisdiction and venue of those courts and waive any objection based on inconvenient forum or lack of jurisdiction.

28. Class Action Waiver

To the maximum extent permitted by law, you and we agree that disputes will be resolved only on an individual basis.

You waive any right to bring or participate in a class action, collective action, consolidated action, private attorney general action, or representative proceeding.

29. Time Limit for Claims

To the maximum extent permitted by law, any claim arising out of or relating to DataReactor or these Terms must be filed within one year after the claim arose.

Any claim not filed within that period is permanently barred.

30. Force Majeure

We are not liable for any delay, failure, loss, or damage caused by events beyond our reasonable control, including acts of God, war, terrorism, cyber‑attacks, labor disputes, supply failures, internet outages, cloud outages, third‑party service failures, power failures, natural disasters, government action, legal restrictions, or infrastructure failures.

31. Changes to Terms

We may update these Terms from time to time.

Updated Terms become effective when posted or otherwise made available.

Your continued use of DataReactor after the effective date means you accept the updated Terms.

32. Entire Agreement

These Terms, together with any applicable order form, invoice, statement of work, privacy policy, data processing agreement, or written enterprise agreement, form the entire agreement between us regarding DataReactor.

If there is a conflict between these Terms and a signed written agreement, the signed written agreement controls for that customer.
